Does a non-resident LLC need foreign qualification?

Short answer

Only if it has a real presence in a second state. Serving customers online across state lines does not trigger it. An office, employees or assets in another state usually does. If you run a Wyoming LLC from Europe with no US footprint, foreign qualification does not apply to you.

What counts as presence

Physical things. An office, staff on the ground, inventory, sometimes property. Remote customers in a state are not presence, which is why most non-resident founders never file one.

How it differs from forming

Forming creates the company in one state. Foreign qualification registers that same company in another. They are two separate filings and two separate sets of fees.
